Please read these Terms of Service ("Terms") carefully before using DawaCloud, operated by
Guru Brothers Ltd ("Company", "we", "us", or "our"). By accessing or using our pharmaceutical
management platform ("Service"), you agree to be bound by these Terms. If you do not agree,
do not use the Service.
1. Acceptance of Terms
By creating an account or using the Service in any way, you confirm that you are at least 18 years
of age, have the legal authority to enter into this agreement on behalf of yourself or your
organisation, and agree to these Terms and our
Privacy Policy.
If you are using the Service on behalf of a business or other legal entity, you represent that
you have the authority to bind that entity to these Terms.
2. Description of Service
DawaCloud (also operating as Drugs Empior) is a global cloud-based pharmaceutical
management and marketplace platform. It provides tools for drug inventory, procurement, retail
point-of-sale, wholesale sales, financial management, human resources, multi-branch management,
reporting, analytics, B2B partner marketplaces, B2C patient ordering, and social community features.
The Service is available via:
- Web application at app.dawacloud.com
- Mobile applications for Android and iOS
- REST API for system integrations
- Public community and marketplace accessible to registered patients and the general public
3. Account Registration
To access the Service, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password confidential and not share it with third parties
- Notify us immediately of any unauthorised access to your account at security@dawacloud.com
- Accept responsibility for all activities that occur under your account
We reserve the right to suspend or terminate accounts that contain false or misleading information,
or that are created to circumvent previous account terminations.
4. Subscription Plans and Billing
DawaCloud offers several subscription plans, including a 14-day free trial. By subscribing to a
paid plan, you agree to the following:
- Trial Period: Your free trial begins upon registration. No payment is required during the trial. At the end of the trial, your account will be suspended unless you subscribe to a paid plan.
- Billing Cycle: Paid subscriptions are billed monthly or annually in advance, depending on the plan you select.
- Payment: All fees are processed securely via Stripe. By providing payment information, you authorise us to charge the applicable fees.
- Additional Branches: Adding branches beyond your plan's included allocation incurs a per-branch monthly fee, billed as a prorated charge through Stripe.
- Price Changes: We reserve the right to change subscription prices. We will provide at least 30 days' notice of any price changes via email.
- No Refunds: Fees are non-refundable except as required by applicable law or as expressly stated in these Terms.
- Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled.
5. Cancellation
You may cancel your subscription at any time from your account settings or by contacting us at
billing@dawacloud.com.
Upon cancellation:
- Your access continues until the end of the current paid billing period
- No refund is issued for unused portions of the billing period
- Your data is retained for 30 days after cancellation, after which it may be permanently deleted
- You may export your data before the retention period expires
6. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
- Use the Service to manage controlled substances in violation of applicable pharmaceutical regulations
- Violate any local, national, or international laws or regulations
- Attempt to gain unauthorised access to any part of the Service or its related systems
- Introduce viruses, malware, or other harmful code
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service to process data for any third party without their explicit consent
- Resell, sublicense, or transfer access to the Service to any third party
- Use the Service in a way that could impair, damage, or overload our infrastructure
- Scrape, harvest, or collect user data without authorisation
7. Data Ownership and Responsibility
You retain full ownership of all data you enter into the Service ("Your Data"). By using the
Service, you grant us a limited, non-exclusive licence to process, store, and transmit Your Data
solely to provide the Service to you.
You are solely responsible for:
- The accuracy, legality, and completeness of Your Data
- Ensuring your drug inventory records comply with applicable pharmaceutical regulations in every jurisdiction in which you operate
- Maintaining appropriate backups of critical business data
- Obtaining necessary licences and permits to operate a pharmacy and use pharmaceutical management software
8. Intellectual Property
All intellectual property rights in the Service — including software, documentation, design,
trademarks, and content — are owned by or licensed to Guru Brothers Ltd. These Terms do not
transfer any ownership rights to you.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Service
solely for your internal business operations during your subscription period.
"DawaCloud" and the DawaCloud logo are trademarks of Guru Brothers Ltd. You may not use our
trademarks without our prior written consent.
9. AI Chat Feature
The Service includes an optional AI-powered chat assistant. By using this feature, you acknowledge:
- AI responses are for informational and business intelligence purposes only — they do not constitute medical, legal, or financial advice
- You should always verify AI-generated insights against your actual business records
- Anthropic's terms of service apply to the underlying AI model
- You may disable the AI chat feature at any time in Settings → AI Chat
10. Offline Functionality (Mobile App)
The DawaCloud mobile application supports offline functionality via local data storage on your device.
You acknowledge that:
- Offline data may not reflect the latest changes made by other users at your organisation
- Conflicts may arise when syncing offline data; our system applies documented conflict resolution strategies (server-wins for most entities, client-wins for POS sales)
- You are responsible for ensuring timely synchronisation to maintain data accuracy
- We are not liable for business decisions made based on stale offline data
11. Service Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access.
Scheduled maintenance windows will be communicated in advance where possible.
We are not liable for losses resulting from service downtime, connectivity issues, or events
beyond our control (force majeure).
12. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, express or implied
- We do not warrant that the Service will be error-free, secure, or meet your specific requirements
- In no event shall Guru Brothers Ltd be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss
- Our total aggregate liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total fees paid by you to us in the 3 months preceding the claim
13. Indemnification
You agree to indemnify, defend, and hold harmless Guru Brothers Ltd and its officers, directors,
employees, and agents from and against any claims, damages, losses, liabilities, and expenses
(including legal fees) arising from:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law or regulation
- Your Data and any claims related to it
- Your infringement of any third-party intellectual property rights
14. Third-Party Services
The Service integrates with third-party services including Stripe (payments), MailKit/SMTP providers
(email), Twilio (WhatsApp/SMS), Anthropic (AI chat), and Microsoft Azure (hosting). Your use of
these integrations is also subject to the respective third-party terms and privacy policies.
We are not responsible for the availability or conduct of third-party services.
15. Confidentiality
Each party agrees to maintain the confidentiality of the other party's non-public information
disclosed in connection with these Terms. We will not disclose your business data to third parties
except as described in our Privacy Policy or as required by law.
16. Termination
We reserve the right to suspend or terminate your access to the Service immediately, without notice,
if we determine that:
- You have materially breached these Terms
- Your use poses a security risk to the Service or other users
- We are required to do so by law or court order
- Your subscription payment has failed and not been remedied within 7 days
Upon termination, your right to use the Service immediately ceases. Provisions that by their
nature should survive termination (including intellectual property, limitation of liability,
indemnification, and dispute resolution) will continue to apply.
17. Marketplace, Advertising & Community
DawaCloud operates a multi-sided marketplace ("Drugs Empior") connecting wholesale distributors,
retail pharmacies, and patients. Additional rules apply when using marketplace features:
- Drug Listings: You may only list drugs that are lawfully authorised for sale in your jurisdiction. Listings for controlled substances, counterfeit medicines, or products that violate local pharmaceutical laws are strictly prohibited.
- Online Orders (B2C): Pharmacies fulfilling patient orders are solely responsible for prescription verification, proper dispensing, and compliance with applicable dispensing regulations.
- Advertising: Ad campaigns must comply with pharmaceutical advertising regulations in all targeted jurisdictions. We reserve the right to reject campaigns that promote controlled substances, make unsubstantiated health claims, or violate applicable law.
- Community Content: User-generated content (posts, reviews, comments) must not contain medical misinformation, harassment, spam, or material that violates applicable law. We may remove content and suspend accounts that violate these standards.
- Public (Patient) Accounts: Free public accounts are for personal use. Prescription drug orders require a valid prescription. You must not misrepresent your identity or qualifications on the platform.
18. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with applicable international commercial law
principles. Any disputes arising from these Terms or your use of the Service shall first be
attempted to be resolved amicably through good-faith negotiation within 30 days of written notice
of the dispute. If unresolved, disputes shall be submitted to binding arbitration administered
under the rules of an internationally recognised arbitration institution mutually agreed by
the parties.
Nothing in this clause prevents either party from seeking urgent injunctive or interim relief
from a court of competent jurisdiction.
19. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or
through a prominent notice in the Service at least 30 days before changes take effect. Your
continued use of the Service after changes constitutes acceptance of the updated Terms. If you
do not agree to the updated Terms, you must stop using the Service and cancel your subscription.
20. Entire Agreement
These Terms, together with our Privacy Policy and any subscription order forms, constitute the
entire agreement between you and Guru Brothers Ltd regarding the Service. These Terms supersede
all prior agreements, understandings, or representations relating to the same subject matter.
